"Agreement" refers to these Terms and Conditions together with any applicable service contracts.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.

You must be at least 18 years of age to use our services. By agreeing to these terms, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3. Service Description

driftminessd provides artificial intelligence services including sentiment and opinion mining, AI model retraining and maintenance, and introductory AI consultations. The specific scope, deliverables, and timeline for each engagement are defined in individual service agreements between driftminessd and the client.

Our services are primarily available to organizations and individuals in Thailand. We reserve the right to decline service requests based on project fit, capacity, or other business considerations.

4. User Responsibilities

When using our website and services, you agree to provide accurate and truthful information in all communications with us, to use our website and services only for lawful purposes, not to attempt to interfere with the proper functioning of our website, to respect the intellectual property rights of driftminessd and third parties, and not to misrepresent your identity or affiliation when engaging with us.

Prohibited activities include attempting to gain unauthorized access to our systems, using automated tools to scrape or extract data from our website without permission, submitting false or misleading information through our contact forms, and using our services for any activity that violates Thai law.

5. Intellectual Property

All content on our website — including text, design elements, graphics, and code — is the intellectual property of driftminessd and is protected by Thai copyright law and international treaties.

You are granted a limited, non-exclusive, non-transferable license to access and view our website content for personal or business evaluation purposes. You may not reproduce, distribute, modify, or create derivative works from our content without prior written permission.

For client engagements, intellectual property ownership of deliverables is specified in individual service agreements. Unless otherwise agreed, custom work created specifically for a client is transferred to the client upon full payment, while driftminessd retains the right to use general methodologies and tools developed during engagements.

6. Payment Terms

Service fees are quoted in Thai Baht (฿) and are payable as specified in individual service agreements. Published prices on our website represent standard scoping and are subject to adjustment based on specific project requirements.

Payment terms, schedules, and accepted methods are detailed in each service agreement. Late payments may be subject to a reasonable administrative charge as specified in the relevant agreement.

Refund policy: If a project has not yet commenced, a full refund may be issued upon written request. Once work has begun, refunds are calculated based on the proportion of work completed, as documented in project records. Consultation fees are non-refundable once the session has taken place.

7. Service-Specific Terms

Sentiment and Opinion Mining: The client is responsible for providing or authorizing access to the data sources to be analyzed. driftminessd processes this data in accordance with our Privacy Policy and applicable data protection laws. Deliverables include analysis pipelines, dashboards, and reports as specified in the service agreement.

AI Model Retraining and Maintenance: The client must provide access to existing model artifacts and relevant data. driftminessd is not liable for model performance issues arising from data quality problems outside our control. Retraining schedules and performance benchmarks are defined collaboratively during the engagement.

Introductory AI Consultation: This service provides general guidance and assessment based on the information shared during the session. It does not constitute professional advice in any regulated field. The written summary provided is for informational purposes and should be validated by the client before making business decisions based on it.

8. Disclaimers

Our website and services are provided on an "as is" and "as available" basis. While we strive for accuracy and quality, we do not warrant that our website will be uninterrupted or error-free, that our services will achieve specific business outcomes, or that our analysis or recommendations will be suitable for every situation.

The information provided through our consultations and services represents our professional assessment based on available data. It should not be treated as a substitute for specialized legal, financial, or regulatory advice.

9. Limitation of Liability

To the maximum extent permitted by Thai law, driftminessd's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages.

Nothing in these terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under Thai law.

10. Indemnification

You agree to indemnify and hold harmless driftminessd, its team members, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our website or services in violation of these terms, your breach of any applicable laws or regulations, or your infringement of third-party rights.

11. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. driftminessd reserves the right to terminate or suspend access to our website at any time for violations of these terms.

Upon termination, any obligations related to intellectual property, confidentiality, payment for completed work, and limitation of liability shall survive.

12. Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, government actions, internet outages, pandemics, or civil unrest. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

13. Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these terms or our services shall first be addressed through good-faith informal negotiation between the parties.

If informal resolution is not successful within 30 days, disputes shall be submitted to the competent courts of Bangkok, Thailand, unless otherwise agreed by both parties.

14. General Provisions

Entire agreement: These Terms and Conditions, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and driftminessd.

Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations without restriction.
